End User License Agreement

Draft template. Have a qualified lawyer review it before you sell anything. This version governs international sales. It is deliberately not a translation of the Chinese version, which is written for a different legal context.

1. Parties and acceptance#

This Agreement is between you ("You") and the copyright holder of the PreciSim software ("We", "Us"). Installing, copying or using the Software constitutes acceptance of this Agreement in full. If you do not accept it, do not install the Software; you may request a refund under our Refund Policy.

2. Licence grant#

Subject to your compliance with this Agreement, We grant you a non-exclusive, non-transferable, revocable licence to install and use the Software on up to the number of seats you purchased.

Seats are counted per machine, not per person. Several people using one machine consume one seat.

3. Updates#

Paid editions include perpetual updates: a single payment entitles you to all future versions of the Software, with no end date.

We commit that if a future major version is offered as a paid upgrade, the update rights of existing customers remain unchanged. Any change of policy applies only to orders placed after the change.

4. Restrictions#

You may not:

1. reverse engineer, decompile or disassemble the Software, or otherwise attempt to derive its source code, except where and to the extent such a restriction is prohibited by applicable law;
2. remove, obscure or alter any copyright, trademark or licence notice;
3. rent, lease, lend, resell, sublicense or otherwise make the Software or a licence key available to a third party;
4. circumvent or assist others in circumventing the licensing and activation mechanism;
5. use an Education edition in a production environment or to provide commercial services.

5. Activation and verification#

The Software is activated with a licence key and a device fingerprint. The fingerprint is a hash of motherboard and disk serial numbers and contains no personally identifiable information; see the Privacy Policy.

The Software performs periodic online licence checks. If the network is unavailable, or Our service is interrupted, the Software continues to function without restriction for a grace period of 7 to 30 days. You may deactivate a machine yourself at any time from your account to free the seat.

6. Intellectual property#

The Software — including the virtual device engine, user interface, documentation and sample data — and all intellectual property in it remain Our property. This Agreement grants a right of use only and transfers no ownership.

Data you produce with the Software — calibration results, configuration files, logs — belongs to you.

7. Disclaimer of warranties#

The Software is provided "as is". To the maximum extent permitted by applicable law, We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.

Simulation results are not a substitute for validation on real hardware. You acknowledge that where the Software is used in the development, commissioning or acceptance of production equipment, final results must be confirmed on the physical machine. We accept no liability for loss arising from reliance on simulation alone.

8. Limitation of liability#

To the maximum extent permitted by applicable law, Our aggregate liability under this Agreement shall not exceed the amount you actually paid for the Software.

We are not liable for indirect, incidental, special, punitive or consequential damages, including loss of profit, production downtime, data loss or damage to equipment.

Nothing in this Agreement excludes or limits liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot lawfully be excluded.

9. Term and termination#

We may terminate this licence on written notice if you materially breach it. On termination you must cease use and delete the Software. No refund is due where termination follows your breach; where termination is due to Our act, a pro-rata refund applies.

10. Governing law#

This Agreement is governed by the laws of the jurisdiction in which We are established, without regard to conflict of law rules. The courts of that jurisdiction have exclusive jurisdiction, except that consumers resident in the European Union or the United Kingdom retain any right to bring proceedings in their country of residence under applicable consumer protection law.

11. General#

• This Agreement is the entire agreement between the parties regarding the Software and supersedes prior communications.
• If any provision is held unenforceable, the remainder continues in effect.
• We may update this Agreement; the revised version is published on this page with its date. Material changes are notified by email and do not retroactively reduce the core rights of an edition you have already purchased — in particular the perpetual update commitment in clause 3.
